Anyone can file an LLC. Online filing services do it in minutes, and the state does not check whether the choice makes sense for you. The expensive mistakes in business formation are almost never filing mistakes: they are tax mistakes. The wrong entity type, a missed S-corp election, a foreign-owned LLC that never heard of Form 5472 , or a company with no compliance calendar that finds out about penalties by mail.
We approach formation as tax advisors first. Before anything gets filed, we look at how the entity will be taxed, who owns it, where it operates, and which elections and registrations should follow. Then we handle the practical setup end to end. How Formation Works, Start to Finish
Every formation follows the same sequence, and you know where things stand at each step:
- Entity type. We start with your tax situation, not a form. We look at whether an LLC, S-corp, or C-corp fits how you earn and plan to grow. The popular answer is not always the right one, and we will tell you when it is not.
- State filing and registered agent. We prepare and submit the formation documents and put registered agent service in place through our partner network, in any state.
- EIN. We obtain the EIN so the business can open bank accounts, hire, and file. That includes foreign owners without an SSN, where the Form SS-4 process works differently.
- Tax elections. If an S-corp or C-corp election would save you money, we prepare it, file it, and calendar the deadline so the election actually takes effect.
- Compliance calendar. Annual reports, renewals, and filing deadlines go on a calendar we track. You should never learn about a deadline from a penalty notice.
Who This Is For
Foreign owners starting a U.S. business. You do not need an SSN to own a U.S. company, but the setup runs differently: the EIN application takes a different path, an ITIN via Form W-7 may be needed if you have a personal U.S. filing requirement, and foreign ownership brings reporting obligations that most filing services never mention.
